Expected salary range of $83,700 to $93,000, varies based on experience, along with comprehensive benefits package that includes bonus and 401(k).
PRIMARY PURPOSE OF POSITION
Work within the Constellation Office of Corporate Governance ("OCG") on a broad range of corporate governance matters, including the administration, organization and management of Constellation board meetings, assisting with the preparation and distribution of confidential meeting materials board-related functions, and serving as liaison between senior executives and members of the board of directors. The role will also assist team members with other OCG responsibilities as needed, including administrative support, entity management, shareholder services and related matters, annual meeting preparation and coordination, and director compensation.
PRIMARY DUTIES AND ACCOUNTABILITIES
Proactively partner with OCG team members on all administrative, organizational and planning aspects for Constellation board meetings and other director-attended events. This includes (i) the proactive development and distribution of meeting materials using the Diligent Boards portal, (ii) partnering with the Supervisor, Board Relations and Corporate Governance and Constellation Corporate Security for attendance and transportation issues related to board events, (iii) providing on-site logistical and administrative support, as needed, and (iv) communicating directly with members of the board of directors, executives, and staff regarding scheduling and attendance at board events and Constellation-sponsored activities and assisting with board portal usage.
Partner with OCG team members to provide support for entity management, shareholder services, annual meeting preparation, director compensation and other department needs.
Directly assist attorneys by conducting research, extracting information from records and documents to create and maintain internal databases.
Works with vendors supplying products and services to OCG and boards, including catering, supplies, reproduction of meeting materials, delivery services, etc.
MINIMUM QUALIFICATIONS
A minimum of 4 years related professional-level experience.
Proficiency in using board portal programs and excellent technical skills in Microsoft office suite products and other systems as the OCG team requires.
Strong written and oral communication skills at a professional level.
Interpersonal and team-oriented skills to achieve OCG team goals.
High ability to multi-task, prioritize and consistently meet deadlines.
Possess willingness to accept increased responsibilities and meet the demands of the practice in a mature and professional manner, whether working independently or as part of a team.
Possess the willingness to work in a demanding environment and the ability to work well under pressure and maintain composure.
Willing to work overtime to accomplish OCG team goals.
Ability to travel for Board meetings and other Board and OCG events, as needed.
PREFERRED QUALIFICATIONS
Bachelor's degree or equivalent combination of education and experience.
