PURPOSE AND OBJECTIVES

The M&A Tax Team, part of SAPs Global Tax Department headquartered in Walldorf, Germany, is seeking a highly skilled M&A Tax Expert. This role is key to advising on the tax implications of complex M&A transactions, including acquisitions, mergers, divestitures, and corporate restructuring projects. The M&A Tax Expert will play a central role in developing and executing tax-efficient transaction structures while managing risk and ensuring compliance with evolving tax regulations. The ideal candidate will have deep technical expertise in corporate tax law, paired with strong communication and leadership skills, enabling effective collaboration with C-suite executives and senior stakeholders. Reporting to the Head of M&A Tax, this role does not include personnel management responsibilities.

EXPECTATIONS AND TASKS

  • Provide strategic tax advice on national and international M&A transactions, ensuring optimal tax efficiency and alignment with corporate goals.

  • Lead structuring and due diligence support for large-scale M&A transactions, covering both domestic and cross-border deals.

  • Assess and advise on tax consequences of transaction structures, including corporate reorganizations, financings, and cross-border transactions (with e.g. a focus on IP consolidation efforts).

  • Serve as a key internal advisor and contributor to post-deal integration strategies to ensure compliance with tax laws and to maximize operational benefits.

  • Collaborate with internal teams, including legal, corporate financial/tax reporting, transfer pricing, and corporate development, to provide integrated advice throughout the M&A lifecycle (including tax audit support).

  • Identify and mitigate tax risks, using both technical expertise and strategic insight to deliver proactive solutions.

  • Oversee the preparation of tax documentation, including tax opinions, memoranda, and transaction-related reports.

  • Stay informed on legislative developments, tax reform, and regulatory changes, anticipating their impact on M&A transactions.

  • Mentor and develop more junior tax colleagues, fostering a collaborative and high-performance team culture.

  • Coordinate and manage tax matters handled by external advisors.

EDUCATION AND QUALIFICATIONS / SKILLS AND COMPETENCIES

Required skills

  • Strong team player with outstanding interpersonal, communication, and presentation skills, capable of engaging with senior executives and stakeholders.

  • Masters degree in Tax, Accounting, Economics or a related field (e.g. LL.M. in Taxation) is highly desirable.

  • Certified German Tax Advisor or equivalent qualification.

  • Exceptional analytical and problem-solving skills, with a talent for translating complex tax issues into clear, actionable advice.

  • Strong project management skills, with the ability to manage multiple high-stakes transactions in a fast-paced, high-pressure environment, while maintaining focus on quality and corporate goals.

  • Fluency in both German and English.

Preferred skills

  • Proven track record in leading complex M&A transactions, including multinational and cross-border M&A structuring.

  • Expertise in group tax accounting (IFRS/German GAAP), transfer pricing, financing matters, and business valuations.

  • Interested in innovation, technology, and SAP solutions.

WORK EXPERIENCE

Minimum of 9 years of experience in international tax advisory services, with a strong focus on M&A, structuring, and compliance.
