Community Hospital Corporation Senior Vice President/General Counsel in Plano, Texas
Community Hospital Corporation (CHC), a DFW Top 100 Employer, is seeking a Senior Vice President and General Counsel reporting to the CEO and President of CHC to be responsible for leading the CHC corporate legal department with a focus on hospital operations, contracting, corporate governance, risk management, strategic business development, and other general corporate matters. The SVP/GC provides senior management with effective advice on company strategies and their implementation, assisting them to solve business problems while addressing issues of compliance and risk management. The SVP/GC manages and oversights all legal functions, including the work of outside counsel.

Major Responsibilities
Oversees, assigns and participates in the legal team’s work on contracts for affiliated healthcare facilities and corporate departments (IT, Supply Chain, Marketing, HR, Business Development, Strategic Analysis).
Advises executive management on legal implications of major decisions and transactions.
Participates in the definition and development of corporate policies, procedures and programs and manages corporate governance issues related to CHC and its affiliates.
Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
In consultation with outside counsel, judges the merits of litigation matters; works with the appropriate executive(s) to review strategic defenses; and in consultation with appropriate executive(s) approves settlements of disputes where warranted.
Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.
Structures and manages the company’s internal legal function and staff.
Oversees the selection, retention, management and evaluation of all outside counsel.
Assesses and advises senior management on current and future business structures and legal entities.
Interacts with hospital key management to provide legal advice on matters relating to hospital operations, regulatory compliance, risk management, medical staff relations and corporate structure.
Supervisory Responsibilities:
Supervises the Associate Counsel, the VP/Assistant General Counsel and the VP/Risk Manager, Chief Compliance Officer.
Other Duties
Serves as corporate secretary/assistant secretary for CHC and its affiliated/owned entities
Attends corporate board of directors meetings
Attends affiliate board of directors meetings as needed/requested
Provides or arranges for corporate board education as requested
Exhibits appropriate quality service behaviors in meeting and/or exceeding the needs of departmental customers, co-workers and others encountered as a representative of CHC
Upholds and supports the company’s mission, vision, goals, and objectives
Requirements
Experience
Minimum ten (10) years’ experience in healthcare with strong emphasis on hospital operations, contracting and strategic business development projects.
Experience working on matters of corporate governance and with a board of directors.
Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
Education/Licenses
Juris Doctorate degree from an accredited institution with excellent academic credentials.
Licensed in Texas and eligible to practice in the state.
Knowledge and Skills
Extensive and in-depth knowledge of health law, including anti-kickback statute, Stark law, hospital operational issues, physician contracting, privacy laws and medical staff relations.
Extensive experience in health care contracting, including professional services, equipment leases, IT, real estate and office leases, supply chain services.
Working knowledge of labor and employment law.
Working knowledge of tax-exempt matters.
Working knowledge of reimbursement and managed care contracting, including CMS Conditions of Participation.
Working knowledge of federal and state regulatory agencies impacting the healthcare industry.
Working knowledge of health care transactions.
Ability to earn respect and build trust.
