RELIANCE STEEL & ALUMINUM CO. Corporate Counsel (Hybrid/Remote) in Pasadena, California

[JOB SUMMARY [Corporate Counsel identifies and analyzes legal issues, drafts, and negotiates legal documents, presents clear legal advice and counsel and recommendations to all levels of management, and assures legal compliance. Works with outside counsel to represent and promote company interests.

[As an attorney specializing in MandA, you will play a key role in advising the company on all aspects of mergers and acquisitions. You will also work closely with fellow members of the Reliance Corporate Legal Group and across the larger enterprise, provide strategic advice and counsel to local operations on general corporate and commercial issues, negotiate commercial agreements, and ensure compliance with relevant laws and regulations.

  • Provide significant hand-on legal support in all stages of acquisitions, including drafting and negotiating NDAs, letters of intent, and definitive transaction agreements, closing deals and support post-closing integration and indemnification issues.
  • Conduct legal due diligence, prepare diligence memoranda, and participate in corporate due diligence processes; support coordination of diligence requests and input from internal stakeholders.
  • Advise on deal structures.
  • Support compliance with transactional regulatory requirements (e.g., HSR filings).

  • Interpret laws, rulings, and regulations.
  • Be a corporate generalist; provide practical legal counsel and advice to corporate and operating personnel across a broad spectrum of general corporate and commercial matters.
  • Help prepare SEC filings, including Forms 10-K, 10-Q and 8-K, proxy statements, registration statements and Section 16 filings.
  • Provide support for capital markets transactions including debt offerings, credit agreements, other treasury related matters, strategic transaction initiatives, joint ventures, and investments.

Juris Doctor degree from an accredited law school.

Membership in the State Bar of California

OR

membership in the bar of at least one state with the ability to become Registered In-House Counsel with State Bar of California.
