Job Summary:

The Administrative and Accounting Specialist performs various duties for the President & CEO, with accountability to the CFO. This position attends the monthly Board of Directors and committee meetings, records proceedings, processes and prepares documents; and is responsible for maintaining shareholders documents and files, as well as associated communications. The incumbent has primary responsibility for the review and payment of incoming invoices, ordering supplies, financial record entries and the maintenance and monitoring of designated budget items. The position is also responsible for various financial transaction duties and will act as a support for wire transfer activities and backup of certain accounting functions. This position requires the incumbent to handle significant matters of confidentiality, integrity and sound judgement. This position will comply with the Bank Secrecy Act (BSA), the Office of Foreign Assets Control (OFAC), the USA PATRIOT ACT (CIP), Customer Due Diligence (CDD), including reporting suspicious activities to the BSA Department as well as other banking and company regulations and rules.

The core, critical and essential work duties, functions and responsibilities of the position are as follows;

Provides administrative support to the CEO & President and CFO by handling a broad variety of situations involving administrative, accounting and Board of Directors/Shareholder functions; Takes Meeting Minutes at Board of Directors, Executive Committee meetings and all official meetings as needed. Responsible for all meeting coordination and scheduling. Acts as official custodian of Minutes and all proxies assigned by members. Prepares Board of Director information packets in advance of meetings and is responsible for distribution to the Board Members; Responsible for maintaining all shareholder and dividend activities; Responds to shareholder inquiries and prepares documents for the Annual Shareholder Meeting; Shareholder Relations point of contact for shareholder inquires and questions. Handles all communications with shareholders. Processes any transfers or sales of stock. Maintains current list of shareholders and percentage of ownership; Acts as the contact person for Southard Financial for Stock Evaluation; coordinates the completion and delegation of the completed package prior to submitting it to Southard Financial; processes invoicing and maintains records of evaluations; Prepares proxies; distributes meeting notices and Annual Reports for the Annual Shareholder Meeting to shareholders prior to Annual Meeting; Tracks returned proxies; prepares the meeting room(s) day before meeting; Prepares Shares-voted totals for report, prepare Oaths of Office, Statement of Interest forms and Personal Financial statement requests for the directors. Sends completed Oaths of Office to WVDFI. Timely completes Stockholder Report to WVDFI with information request regarding 5% shareholders as of July 1st, submitting completed report promptly after July 1st of each year; Distributes the K-1s to Shareholders; Provides 1099 totals to the Deposit Operations Department for vendors, contractors and board members for processing of tax forms; Maintains bank policies. Updates new or amended policies and places on Ntranet and Diligent. Updates policy book, ensuring current policies are available at those sites.
