Provide legal advice and representation to (a) global investment banks, lenders, borrowers, sponsors, project and other special purpose companies, facility agents, security agents, and other agents in cross-border project, acquisition, asset, leveraged, and trade financings, and (b) corporate, sovereign, and quasi-sovereign issuers, as well as to underwriters and other agents in registered and exempted international equity, debt, and hybrid securities offerings. Draft, review, and negotiate all transaction documentation, including commitment letters and term sheets, credit facility agreements, restructuring agreements, inter-creditor agreements, multijurisdictional security packages, escrow agreements, off-take arrangements, supply contracts, leases, and service agreements, as well as offering and placement memoranda, underwriting agreements, note purchase agreements, indentures, registration right agreements, and other securities-related documentation. Advise and assist in the creation, structuring, regulatory analysis and launch of new products and businesses. Interpret, educate, and assist with the implementation of regulatory changes (e.g. SEC, FINRA) that impact equities businesses). Perform major role in collaborating with front office, Litigation and control functions across the enterprise as needed regarding regulatory inquiries and special remediation efforts arising out of covered business lines. Provide general corporate counsel, including as to deal structure and contractual rights and obligations. Oversee the work of local counsel and manage international transactions spread over multiple jurisdictions.

Requirements: - Juris Doctor, Master of Laws, or foreign academic equivalent. - Ten years of legal experience involving cross-border finance and international capital markets with direct experience gained working in major overseas financial centers such as London and Hong Kong. - Admission to the New York State Bar. - Knowledge of capital markets practice and related legal systems of overseas financial centers in the United Kingdom, Europe and Asia. Industry knowledge in technology, telecommunications, energy, banking, and healthcare, including knowledge of how companies in different industries are positioned with respect to local and global trends, market share and competition; industry developments and emerging practices; industry challenges in terms of regulation, corporate governance and accounting matters; and of strategic issues affecting companies in different industries in different jurisdictions and regions. - Infrequent domestic and international travel.

Salary: $575,000-$800,000 per year
