Represent private equity firms, investment firms, international banks, net lease REITs, and developers in transactions including acquisitions, sales, mortgage financings, mezzanine financings, bridge loan financings, construction loan financings, joint ventures, loan purchases and assumptions, and bank and bond transactions. Prepare and negotiate primary transaction documentation, including purchase and sale agreements, joint venture agreements, deeds in lieu of foreclosure, and operating leases. Review and negotiate terms and conditions of financing documentation with mortgage and mezzanine lenders, including terms and conditions of loan agreements, mortgages, guaranties, promissory notes, and cash management agreements. Prepare and negotiate terms and conditions of commercial leases and subleases. Oversee real estate diligence processes. Advise clients regarding target property risks, including existing financial obligations, development restrictions, operational and use restrictions, agreement transferability, and title, survey, zoning, and environmental risks. Advise clients in merger and acquisition transactions regarding risks and economic obligations relating to target companies’ real property assets and liabilities.$260,000 per year REQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 3 years of experience in position or 3 years of alternate occupational experience performing complex cross-border corporate real estate transaction advisory legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable.
