Perform a wide variety of services related to the legal counseling of high technology companies. Address issues related to corporate formation and governance, corporate financings andsecurities law, compensation, employment, mergers and acquisitions, tax, antitrust, intellectual property, and international law matters. Represent early- mid- and late stage companies, the entrepreneurs who found these companies and the venture capitalists who fund them. Participate in the organization of new enterprises, the establishment of the rights and obligations among the founders, the raising of funds via the issuance of equity and debt, the negotiations of the terms of investment between companies and their investors, equity compensation matters with respect to service providers, hiring and separation of executives, ongoing transactions and communications with existing investors, and corporate exit transactions such as sale of company, initial public offerings and dissolution.
