Fenwick & West LLP Associate in New York, New York
Perform a wide variety of services related to the legal counseling of publicly held and privately held high technology companies. Address issues related to corporate financings, mergersand acquisitions, tax, antitrust and intellectual property matters. Represent early-stage companies, the entrepreneurs who founded these companies and the venture capitalists who fund them. Participate in the organization of new enterprises, the establishment of the rights and obligations among the founders, the raising of funds and negotiations of the terms of investment between companies and their investors. Advise clients as to licensing, corporate partnering, distribution, and other arrangements between the company and other entities with whom they interact. Work on securities law matters, including preparation of initial public offerings (IPOs) for private companies, follow-on offerings, debt placements and Rule 144A transactions. Represent issuers of securities, selling stockholders and investment banks and underwriters. Represent public companies in connection with their periodic reporting obligations.
