Position:

Sr. Paralegal

Position Summary:

Partners with Legal team, to assist and provide a range of legal support and administration to the company's lawyers (including but not limited to responding to outside counsel requests). Create documents related to new corporate entity formations, including articles of incorporation, dissolution, stock certificates, and merger agreements. Supports the review of governance structures, assessments of corporate documents and management of corporate data.

Job Description:

Primary Responsibilities

  • Assists in the preparation, review and revision of diverse types of contracts, including but not limited to:

  • Conducting research on legal issues, existing contracts, and regulations related to the contracts being drafted.

  • Handling contract process, filing and organization of contracts.

  • Communicating and collaborating with internal stakeholders and external parties involved in the contracting process.

  • Assisting in the development of internal guidelines, toolkits, and packaged knowledge on contract issues for the wider organization

  • Administering the legal-involved process associated with contract databases and management systems.

  • Providing support during contract negotiations.

  • Extracting key information from contracts, summarizing and documenting such information.

  • Assisting with dispute resolutions related to contracts.

  • Monitoring and managing contract execution and renewals, disseminating contract obligations as necessary to the relevant key team members.

  • Provide litigation support, including gathering information and documents in response to discovery requests and responding to subpoenas.

  • Organize and maintain investigation and litigation-related files.

  • Prepare and review documentation and pleadings for litigation, disputes and other matters.

  • Interact with outside counsel on discovery issues and litigation status.

  • Research case-related factual issues using in-house files and outside reference sources, such as laws, regulations, and legal decisions and articles.

  • Assists with the preparation, filing, and service of contracts, filings, and pleadings.

  • Interviews clients, witnesses, and experts

  • Acts as a liaison among all parties for scheduling and sharing information.

  • Organizes and manages documents, including creating spreadsheets and retrieval systems.

  • Coordinates the collection, review, and production of documents and responds to discovery requests.

  • Completes legal assignments and guides projects as assigned including tracking progress, providing status updates to ensure timely completion.

  • Other duties as assigned.

Qualifications

  • Four-year degree in a related degree field or equivalent (Paralegal Certificate desired)

  • 5+ years of experience or the knowledge, skills, and abilities to succeed in the role.

  • 2+ years of experience with entity management lifecycle including annual compliance and event driven activities including regular filings, drafting consent, associated entity management activities, etc.

  • Experience with legal technology and its application in contract lifecycle management field.

  • Highly effective communication skills with the ability to relate effectively with internal and external constituencies.

  • Proven ability to operate in a collaborative, shared leadership environment.

  • Strong research, analytical, planning, organizing, and critical thinking skills.

  • Effective time management and information monitoring skills

  • Ability to manage multiple requests and tasks while maintaining attention to detail and accuracy.

The hiring range for this position is:

$72,800.00-$97,400.00
