This role is also eligible to participate in an incentive program. The Associate General Counsel provides commercial real estate, construction and general corporate-related legal counsel and services to individuals and companies within Opus (the "Company"). DUTIES AND RESPONSIBILITIES Legal Counsel and Support: Advise and assist leadership, other business personnel and outside counsel in determining appropriate structuring of real estate, financing, and construction-related transactions; negotiate on an as-needed basis with clients, potential clients, and their legal counsel in connection with such transactions. Actively participate in complex or difficult transactions and work to creatively solve legal issues. Examine and interpret documents, actions, statutes, decisions, and ordinances affecting, or potentially affecting, the Company. Act as agent of the Company in various transactions, as authorized. Work with outside counsel and risk management to manage claims and litigation matters and recommend legal strategies in resolving disputes. Manage Company trademark related matters. Assist with environmental due diligence and compliance matters as requested. Inform General Counsel of difficult issues and non-standard transactions. Establish reputation of being approachable, competent, professional, and responsive, and encourage the proactive use of the Legal Department. Advise Company leadership and personnel on legal issues impacting their areas of responsibility, as needed or requested. Assume responsibility for special projects as assigned. Legal Department: Manage and evaluate outside counsel. Periodically review existing standard document forms and recommend updates as necessary. Assume responsibility for legal department initiatives as assigned. Oversee legal department team members as assigned. Professional Development: Monitor legal trends relative to the Company's business, services, practices, and operations and anticipate future trends likely to have an impact on the Company. Advise General Counsel and Company leadership on current developments in the law impacting Company operations. Maintain continuing education requirements and State Bar license. QUALIFICATIONS Juris Doctor degree and current admission to a State Bar Association and maintain annual registration and continuing legal education. High level of knowledge and expertise and solid experience with legal and business aspects in handling both general corporate matters and commercial real estate transactions, including design, construction, finance, joint ventures, leasing, purchase and sales, development, and general contracts. High level of skill in analyzing, negotiating, and drafting legal ocuments. Excellent oral and written communication skills, and ability to establish positive and effective business relationships both within and outside the Company and articulate complex issues and ideas in simple, easy to understand concepts. Strong critical thinking skills and ability to engage in astute analysis. Ability to practically and creatively solve legal issues with confidence. A sound understanding of counseling and negotiating techniques. Solid team player with strong interpersonal skills and a strong, reliable work ethic. Litigation experience helpful.
