Dorsey & Whitney Healthcare Transactions & Regulatory Paralegal in Minneapolis, Minnesota
We are seeking a Paralegal for our Health Transactions and Regulatory practice group to provide transactional and regulatory legal support related to corporate formations/reorganizations, mergers and acquisitions and the administrative processes related to health industry business operations and changes of ownership. This is a hybrid position and can be located in either our Minneapolis or Des Moines office. In this role, you will: Prepare and file corporate formation documents with various state and federal agencies, such as the Iowa Secretary of State and the U.S. Internal Revenue Service to form legal entities and obtain employer identification numbers and other unique business identifiers needed to apply for health care licenses and to enroll health care providers in the Medicare and Medicaid programs. Provide initial review of transaction data rooms for due diligence review, including review of contractual obligations of buyer/seller entities for material contracts; as well as initial drafting of client-focused due diligence reports. Prepare Change of Ownership ( CHOW ) applications for filing with various state and federal entities, as well as managed care organizations, including interfacing directly with clients to obtain the necessary information and interfacing directly with federal and state agencies and managed care organizations to follow up on the filings through completion. Prepare Certificate of Need ( CON ) applications, draft initial letters of support and presentation slides and complete online filing of CON deletion/reduction forms. Assemble information and prepare materials for attorneys as needed based on client need, including closing documents, signature packets, transaction transcripts and change of ownership applications. Client contact focuses on preliminary or relatively routine data collection or communication of information. Apply basic knowledge of legal procedures, electronic discovery and document management, terminology, and activities to paralegal tasks. May perform other duties as needed.
