This position would be based in our Minneapolis office. The Contracts Attorney position is responsible for reviewing and drafting various client and vendor agreements and amendments and manages the SRF Contracts Team. This position includes developing company contract policies, reviewing and summarizing agreement terms, reviewing and recommending changes to proposed contract terms, managing and timely performing internal and external customer requests, maintaining documents in the contract database, and monitoring of the contract ticketing system for status of in-process items. This position may also act as a liaison between internal employees and outside clients and vendors. Additional duties include providing assistance, preparing reports and tracking required contract reporting to ensure adherence to company policy and contract requirements. Responsibilities: Working knowledge of legal terminology and common drafting practices used to incorporate by reference contract provisions, laws, policies, and regulations within another document, as well as mandatory contract flow-down clauses. Recommendation of revisions of proposed contract terms at both the RFP stage and final contract stage of the contract process. Development of best practices for SRF contracts procedures and processes. Collaboration with SRF clients through communication and timely completion of priority projects and keeping internal customers apprised on progress. Reviewing, reporting and monitoring internal and external contract reporting. Preparation and oversight of contracts from drafting all the way to execution, skilled in numerous areas including legal compliance, negotiation, and relationship management. Manage and control the implementation of contracts, interpret contract terms and conditions, analyze issues and formulate resolutions, provide advice to project management team, confer with management to manage and control risks, ensure parties involved in the contract meet their obligations, negotiating terms and conditions in contracts and ensuring compliance with the terms and conditions, as well as documenting. Work with internal customers to obtain appropriate scopes of work and fee schedules, ensure compliance of procurement processes, subcontract & amendment preparation and facilitate in subcontract negotiations, as well as documentation of compliance with applicable laws, policies and procedures. Ensure both parties are complicit with t rms of contracts, as well as ensure contracts abide by local, state, and federal laws. Work with insurance agents to coordinate contractual insurance requirements. Maintain high ethical standards in every aspect of the position and comply with company policy, laws, and regulations. Ensure that signed contracts are communicated to all internal customers to provide contract visibility and awareness, interpretation to support implementation. Provide recommendations and negotiate directly with customer attorneys or legal staff to craft a final document that is satisfactory to all parties. Advising SRF management on various general legal issues. Dispute resolution. Manage company federal and state professional registrations and licensing. Other duties as assigned. Required Qualifications: Licensed Attorney in Minnesota required. Twelve or more years of contract law experience required. Excellent Microsoft Office Skills including Word, Excel and Outlook plus Adobe Acrobat. Comfortable working with all levels within the organization, including senior management. Strong analytical skills, is highly organized and has a strong attention to detail and is focused on accuracy and completeness. Ability to quickly and concisely summarize contract risks for management review. Must have the ability to communicate effectively with internal team members, business partners and vendors. Excellent multi-tasking skills with ability to quickly prioritize to meet deadlines. Positive attitude and collaboration skills required. In-depth knowledge of various contracting types, regulations, policies, procedures, and requirements. Knowledge of Federal, departmental or agency, and local contract laws, regulations and procedures applicable to the acquisition and contract administration of professional services and construction. Critical business skills to efficiently identify contract risks and weigh the importance of them in negotiating contracts. Knowledge of procurement statutes, interpret procurement regulations and policies. Critical thinking skills sufficient to understand legal and business risks.
