Description

Our client is seeking a permanent full-time attorney to join their team legal and consulting firm in Memphis, TN. This role will support financial institutions and community banks across areas like corporate law, financial institution regulation, corporate strategic transactions, M& A, share repurchases, corporate taxation, corporate strategic planning, and employee benefit plans.

• Advise on various corporate transactions, including mergers and acquisitions

• Provide legal advice on banking and financial services related matters

• Draft and review legal documents pertaining to corporate law and business law

• Handle legal affairs related to stock and shareholder matters

• Ensure compliance with federal banking regulations

• Provide legal support on matters related to corporate banking

• Advise on corporate governance and corporate finance issues

• Address legal matters related to corporate taxation

• Provide guidance on community banking issues

• Ensure all legal affairs are conducted in accordance with banking and finance law.

Requirements

• Must hold a valid license to practice law

• Proficiency in Banking & Finance Law

• Demonstrated knowledge of Banking Law

• Familiarity with Banking Regulation

• Experience in Community Banking

• Expertise in Corporate Banking

• Understanding of Federal Banking Regulation

• Experience with Mergers & Acquisitions (M& A)

• Proficiency in Corporate Finance

• Knowledge of Corporate Governance

• Demonstrated experience in Corporate Law

• Proficiency in Business laws

• Excellent research and analytical skills

• Ability to manage multiple tasks and meet deadlines

• Strong oral and written communication skills

• Proficient in using legal research software.
