Fujifilm Counsel, Data Privacy & Litigation in Madison, Wisconsin

Overview

We are hiring a Counsel, Data Privacy & Litigation to lead Data Privacy & Protection and Corporate Litigation. This role will provide strategic legal counsel for FUJIFILM Holdings America Corporation (HLUS) and its subsidiaries. The Counsel, reporting to the Chief Litigation, Employment, & Privacy Counsel, will be an experienced lawyer, responsible for data privacy and litigation management. The right candidate will be excited to join a growing company with a diverse portfolio of life sciences, medical device, pharmaceutical, technology and manufacturing businesses. This attorney will work both independently and collaboratively and be a legal resource and valued business partner for HLUS and its subsidiaries.

FUJIFILM Holdings America Corporation is the holding company for North American based FUJIFILM companies operating in many states across the US, as well as in Canada, Brazil and Colombia and engaged in the research, development, manufacture, sale and service of FUJIFILM products. Responsibilities

Data Privacy & Protection

  • Act as a key subject matter expert and advisor to FujiFilm lawyers and business teams on all matters relating to data privacy and protection law, including providing practical, timely, strategic, and high-quality legal advice on data privacy and security matters.

  • Advise members of the legal and business teams on best practices and compliance with U.S. and global data protection laws, including legal and regulatory aspects of data collection and use, privacy disclosures and transparency, consent forms, and related issues.

  • Collaborate with privacy and security colleagues to support and enhance the company’s privacy program to enable consistent, effective data privacy practices and minimize privacy risk.

  • Provide legal support for the strategic reviewing, drafting, and negotiating of privacy and data security terms in contracts with business partners and vendors, including data processing agreements and data protection terms in agreements.

  • Provide legal support for the drafting, reviewing and negotiating of privacy and security related agreements, including Business Associate Agreements, Data Processing Agreements, Data Protection Agreements and Security Agreements.

  • Provide advice and legal direction on data protection laws impacting business operations and contractual relationships.

  • Strategically advise on emerging products and technologies while anticipating and successfully navigating privacy considerations.

  • Provide legal counsel on investigations involving reports of inappropriate or unauthorized access, loss or disclosure of personal data, including advising on potential liability, identifying legal obligations, and supporting incident response efforts.

  • Contributing to develop enterprise-wide best practices for incident response readiness and advising on all aspects of incident response, whether privacy and/or cybersecurity related.

  • Identify and advise on key legal issues requiring attention from the privacy compliance team and anticipate potential privacy legal issues within the organization.

  • Provide legal counsel to IT Security, Compliance, and other individuals with privacy and data handling responsibilities in the organization to help set strategy and manage complex privacy matters involving systems and data processing activities.

Litigation

Overflow/Backup Litigation Counsel in the following areas:

  • Manage and resolve a wide range of lawsuits and pre-litigation disputes.

  • Drive responses to investigation matters and inquiries involving regulators and other government entities

  • Develop all aspects of strategy for managing and resolving cases and investigations.

  • Advise senior executives on litigation strategies

  • Provide legal advice to managers and supervisors and perform necessary research for guidance in operational processes and procedures

  • Manage and oversee the responses to discovery requests, including e-discovery

  • Review and provide guidance on subpoena duces tecum

  • Conduct internal investigations and fact development, including working with witnesses.

  • Work in close partnership with colleagues in the Legal Department and business partners across the company, to achieve good business and legal results and facilitate smart risk-taking.

  • Help manage Fujifilm’s responses to third-party requests for information while complying with the law and proactively protecting the data of our Company, employees and customers.

  • Supervise outside counsel and litigation consultants

  • Manage budgets and support litigation and investigations reporting.

  • Draft policies and internal procedures, and conduct training to educate business partners;

  • Add rigor to all aspects of internal processes and champion data-driven decisions

Required Skills / Education

  • Licensed to practice law in good standing under the Bar of at least one state.

  • College degree and juris doctorate from accredited law school. Academic honors preferred.

  • At least 7 combined years of experience as a practicing attorney, in-house or at a law firm, including experience providing legal counseling on data privacy and data security matters, and experience with litigation and investigations matters

  • Understanding of relevant privacy statutes, regulations and guidance, such as comprehensive state privacy laws (e.g., CPRA, VDCPA), California Confidentiality of Medical Information Act (CMIA), state breach notification laws, HIPAA, EU General Data Protection Regulation (GDPR), TCPA, and CAN-SPAM.

  • Experience assessing legal risks relating to data protection and privacy, and identifying and advising on practical, compliant ways to mitigate those risks.

  • Experience drafting and negotiating privacy and security-related contracts and contract provisions.

  • Experience with data loss prevention and cybersecurity events, including forensic investigations, breach notifications, and cybersecurity preparedness.

  • Experience managing privacy and/or cybersecurity incident response

  • Experience with privacy litigation and enforcement is a plus.

  • Excellent negotiation and communication skills (both oral and written) are a must.

  • Subject matter expertise in litigation, including motions, pleadings, and discovery (including eDiscovery)

  • Experience researching, interpreting, and articulating legal issues

  • Experience setting in-house legal litigation strategy, providing strategic litigation advice and counsel to business partners involved in litigation and pre-litigation matters

  • Experience managing outside litigation counsel to a budget and setting litigation expectations and parameters with outside firms

  • Experience conducting internal interviews and supporting businsses, with outside counsel, in all phases of litigation and pre-litigation

  • Ability to interpret and apply applicable laws and regulations

  • Flexibility to simultaneously manage a wide range of projects and matters and meet deadlines in a changing and fast-paced environment
