Your opportunity
You will provide the full range of corporate secretarial and governance support to UK regulated entity boards in the Group. This is a role operating at all levels of the Group, including liaison with Executive & Non-Executive Directors and Senior Management.
You will report directly to the Head of Corporate Secretariat and will provide an important role in working with the other Company Secretary to supervise and coach more junior members of the team. This is a newly created position that we are excited to bring into the team that will now comprise two Company Secretaries and two Assistant Company Secretaries.
You will:
Provide the full range of corporate secretarial support, including in relation to UK regulated entity boards in the Group
Prepare agendas for board meetings, attending meetings, preparing minutes, managing minute reviews and following up on action items
Liaise with management regarding the provision and content of board papers
Provide corporate governance advice and support to the business, to ensure that the firm’s boards (and committees) are operating effectively and in accordance with best practice from a corporate governance perspective
Oversee corporate governance processes for the Corporate Secretariat team
Participate in governance and regulatory projects and implement changes where required
Assist with the identification and implementation of process and procedural improvements for the Corporate Secretariat team
Undertake horizon scanning for legal and regulatory developments impacting the Corporate Secretariat team’s activities.
Supervising and coaching more junior members of team
Carrying out additional duties as assigned

Must have skills
Qualified Chartered Secretary or Chartered Governance Professional
Experience of working with Senior Managers and Directors in a Corporate Secretariat function, ideally within the asset management industry
Knowledge of relevant company law and corporate secretarial requirements (English law requirements)
Well-developed knowledge of regulated board processes and procedures
Knowledge of the Senior Managers and Certification Regime and Consumer Duty

Ability to communicate effectively
