The Role

Lumen is seeking an accomplished corporate attorney and legal executive to serve as Deputy General Counsel, Head of Corporate Transactions and Operations. Reporting to the Chief Legal Officer, this position will be part of the senior leadership team of the Legal Department and play a key role across the company’s in-house corporate operations. This role will supervise a team of 8 lawyers and legal professionals driving a variety of strategic initiatives including M&A transactions and capital markets financing, as well as general corporate operations matters. This is an exceptional opportunity for someone to build and shape a world class corporate function during a period of transformation and innovation at an established Fortune 250 company. This individual will work on a hybrid in-office/remote work arrangement with a preference for the successful candidate to sit in Los Angeles, Denver, or Seattle.

The Main Responsibilities

  • Partner with SVP Corporate Development in evaluating potential acquisition targets, JV partnerships, and divestitures; negotiate and close deals that support the company’s strategic objectives; collaborate with cross-functional teams to ensure seamless post-closing integration or transition.

  • Monitor industry trends, competitive landscape, and regulatory changes to inform strategic decisions.

  • Partner with SVP Treasurer on public debt and equity financings; advise commercial and operational teams to ensure compliance with debt covenants.

  • Partner with SVP Finance, SVP Tax and other senior Finance executives on a variety of company operations, including tax matters, management of hundreds of corporate affiliates and subsidiaries, real estate transactions, and corporate aircraft policy.

  • Lead and manage a team of highly skilled lawyers and legal professionals, fostering effective relationships within the team

  • Engage with internal and external stakeholders, including executive leadership, board members, investors, and advisors.

What We Look For in a Candidate

The ideal candidate will be an accomplished legal professional from a highly regarded company known for having a best-in-class legal function. They will have meaningful experience both in-house combined with training from a world-class law firm. They will bring a breadth of legal expertise and a deep commitment to continuous improvement, as well as an appetite to roll up their sleeves and dig into the day to day responsibilities of the legal function in a hands-on way. They will be an exceptional communicator and people leader with the ability to influence executives at the highest levels of Lumen. Ideally, the successful candidate will be a deep M&A and capital markets financing expert with broader corporate transactional experience.

In terms of the performance and personal competencies required for the position, we would highlight the following:

Subject Matter Expertise

  • At least 15 years of legal experience doing corporate transactions and operations work

  • A combination of experience acquired at both nationally-recognized law firms as well as public companies

  • Significant leadership experience building and developing teams, reporting to the Chief Legal Officer

  • Proven track record of successfully leading and executing complex M&A transactions

  • Proven track record of capital markets financing experience at a highly-leveraged public company

  • Experience in telecommunications and/or technology

  • Proven ability to influence, collaborate, and partner with senior executives and diverse stakeholders

  • Excellent business acumen with a demonstrated ability to execute outcomes aligned with company strategy

Compensation

The starting salary for this role differs based on the employee's primary work location. Employees typically do not start at the top of the range, though compensation depends on each individual's qualifications.

Location Based Pay Ranges

$236,410 - $315,210 in these states: AR, ID, KY, LA, ME, MS, NE, SC, and SD.

$248,850 - $331,800 in these states: AZ, AL, FL, GA, IN, IA, KS, MO, MT, NM, ND, OH, OK, PA, TN, UT, VT, WV, WI, and WY.

$261,300 - $348,390 in these states: CO, HI, MI, MN, NV, NH, NC, OR, and RI.

$273,740 - $364,980 in these states: AK, CA, CT, DE, DC, IL, MD, MA, NJ, NY, TX, VA, and WA.

As with the pay range variety that's based on the region of a country, specific offers are determined by various factors such as experience, education, skills, certifications and other business needs.

This position is eligible for either short-term incentives or sales compensation. Director and VP positions also are eligible for long-term incentive.
