CSG International Paralegal in Denver, Colorado

Hi, I'm Amy Fetchko, your Recruiter and guide to joining CSG! We are excited to learn more about you and your unique background. We are seeking a Paralegal who will manage administrative legal needs related to transactions, corporate governance, SEC matters, and compliance. This role will report to CSG's VP & Associate General Counsel - Corporate.

We are looking for a Paralegal who will:

M&A Responsibilities: Play an important role on M&A transactions, including due diligence support, managing closing checklists, generating redlines and signature pages, and other general support.

Entity Management: Manage the global subsidiaries of CSG. Draft, review, and file organizational and entity compliance documents, including coordination of incorporation and dissolution procedures. Facilitate the appointment and education of directors of various subsidiary entities, and manage passport and power of attorney requests.

SEC Reporting: Support SEC reporting requirements, including the annual proxy statement, quarterly filings, and other routine filings, including Forms 3 and 4 for Section 16 officers.

Internal Reporting: Support required internal reporting related to litigation and material nonstandard contract terms. Provide general support within the legal, tax, treasury, and accounting teams to promote efficient workflows.

Is this opportunity right for you? We are looking for candidates who: 2-5 years of working experience as a Paralegal Paralegal certificate preferred A combination of in-house and law firm legal experience a plus Strong attention to detail and excellent oral and written communication skills Team-focused attitude and approach Ability to project-manage complex legal projects requiring input from outside counsel and various groups across the organization Ability to analyze issues, identify solutions, and implement strategies to address challenges effectively Ability to exercise independent judgment and to effectively prioritize work

Position Pay Range:

This range represents the low and high end of the salary range for this position. Actual salaries will vary based on factors including but not limited to geographical location and experience. $62,141.93-$99,426.20

This role is eligible for a bonus opportunity.
