Your opportunity
Provide advice, review, and negotiate investment management and advisory agreements, including side letters with institutional investors
Offer legal support across the institutional client life cycle, covering Request for Proposal requests, onboarding, mandate changes, transitions, and terminations
Handle legal documentation for investment management, commingled pools, collective investment trusts, distribution agreements, and other asset management-related agreements with institutional clients and service providers
Support the global firm in proxy voting matters and serve as an adviser to the Proxy Voting Committee
Advise on ERISA issues and support regulatory filings such as Form ADV and NFA filings, including SEC and NFA registration issues
Provide legal assistance for institutional offerings in Canada, APAC, and Australia, including regulatory filings and issues, with the US serving as an investment adviser
Address legal matters related to FINRA 5130/5131, anti-corruption (FCPA, UK Bribery Law), AML, FATCA, and CRS
Support distribution and compliance colleagues with regulations and laws affecting distribution activities, including performance composites, GIPS issues, and marketing rule issues
Prepare responses to audit or regulatory requests, coordinating with teams to collect relevant documents and information, and assist with direct mutual fund matters and intermediary distribution as needed
Manage external counsel and provide ad hoc legal advice to internal departments on various legal issues related to funds and investors
Carry out other duties as assigned

Must have skills
Two to five years’ experience as a lawyer within a law firm or financial services company preferred
Experience with registered investment advisers and/or investment company rules and regulations preferred
JD From an accredited law school
Member in good standing of the Colorado Bar or the bar of any other state
Excellent communication skills, both verbal and written
Strong negotiation skills
Ability to work independently and prioritize appropriately across a wide range of work
Strong exercise of judgment

Ability to proactively build relationships at all levels within the organization.

Compensation information
The base salary range for this position is $130,000 – $160,000. This range is estimated for this role. Actual pay may be different. This role will remain open until June 15, 2024.

Annual Bonus Opportunity: Position is eligible to receive an annual discretionary bonus award from the profit pool. The profit pool is funded based on Company profits. Individual bonuses are determined based on Company, department, team and individual performance.
