We seek a sharp, resolute professional who excels in a fast-paced environment, can rapidly build trust and strong relationships across the organization, and carefully identifies and evaluates complex issues to develop thoughtful, innovative solutions. Essential Functions: * Draft, negotiate and review contracts including client engagement letters, nondisclosure agreements, access and successor letters, real estate and office leases, hardware, software, and SaaS agreements, and various agreements related to employment. * Advise business units on general legal matters, including client and vendor matters, data security and data privacy, regulatory and professional compliance, employment, intellectual property. * Assist in operation of Alternative Practice Structure and relationships with associated CPA firms. * Draft, review, and update policies and procedures to address emerging issues. * Assist operating units to manage and resolve disputes with clients, vendors, employees, and third parties. * General legal research and continuing education * Support committees responsible for setting company policy, including compliance, risk, incident response, and crisis management. * Reinforce the ethical standards of the company as a member of the team that sets the tone at the top. * Participate in discussions with leadership for major policy and business decisions. * Perform other duties as assigned. Qualifications: * Must possess a Juris Doctorate degree and admission to the Ohio or New York Bar, in good standing. * Seven years of job-related prior experience, preferably with an accounting or consulting firm. * Well-developed legal, analytical, and critical thinking skills with the ability to adapt, taking on new roles and comfort learning new areas of the law. * Able to exercise initiative, judgment, discretion, and decision-making to achieve organizational objectives and elevate matters to Legal leadership at appropriate time. * Ability to assess legal and business risk in varying situations and make associated recommendations to minimize overall risk to the Company. * Excellent verbal and written communication skills * Highly organized with strong analytical skills * Strong PC proficiency on Microsoft and various software products and tools * Possess focused, practical problem-solving ability using detailed analysis of various laws, regulations, and rules impacting the professional services industry, particularly providers of accounting, tax, consulting, and advisory services. This position is in either CBIZ's Cleveland, Ohio headquarters or its New York, New York office.
