We are seeking an experienced attorney that provides legal expertise and support for a wide range of corporate and contractual matters. This role involves drafting, reviewing, and negotiating various contracts, ensuring compliance with legal regulations, and advising on corporate governance issues. The Corporate Counsel works closely with internal stakeholders to mitigate risks and facilitate business operations in alignment with the company’s legal and strategic goals.

Main Responsibilities:

  • ​Drafting, reviewing, and negotiating a variety of contracts, including research and development agreements, clinical trial agreements, licensing agreements, supply agreements, and distribution agreements.

  • Providing legal support for mergers and acquisitions, including due diligence, contract negotiation, and integration.

  • Advising on intellectual property matters, including patents, trademarks, and trade secrets, to protect the company’s innovations and competitive advantage.

  • Ensuring compliance with industry-specific regulations such as FDA regulations, and healthcare laws (e.g., Anti-Kickback Statute, False Claims Act).

  • Managing and resolving disputes, including litigation, arbitration, and mediation related to commercial and corporate matters.

  • Supporting corporate governance activities, including drafting and maintaining corporate policies, bylaws, and minutes of board meetings.

About you:

  • J.D.

  • 3-5 years of post-J.D. experience including: Prior experience at EITHER a law firm with a significant transactional practice and knowledge of contracts OR as a member of an in-house legal department negotiating commercial contracts ; and

  • Licensed to practice law in a US state, and either in good standing in New Jersey or able to obtain a NJ limited license for in-house counsel.

  • Knowledge of pharmaceutical laws is a plus.
