Robert Half Corporate Transactional Attorney in Baltimore, Maryland
Description We are offering an exciting opportunity for an Attorney/Lawyer in BALTIMORE, Maryland. In this role, you will be dealing with corporate transactional matters, focusing on entity structure and organization, along with issues regarding tax-exempt entities. This role requires you to work both independently and collaboratively with other internal and external counsel on complex transactions.
Responsibilities:
• Independently handle M& A transactions
• Draft and negotiate entity formation documents and operating agreements
• Work on business transactions and entity documentation
• Structure transactions considering all legal aspects
• Review, draft, and negotiate partnership agreements and other joint venture agreements
• Exhibit strong attention to detail while working on multiple matters
• Demonstrate excellent drafting and organizational skills
• Negotiate effectively and assertively for our clients
• Maintain a congenial relationship with opposing counsel, colleagues, and clients. Requirements
• Possess a Juris Doctorate (JD) degree from an accredited law school
• Be licensed to practice law
• Have a minimum of three years of experience as an Attorney or Lawyer
• Display expertise in Corporate Transactions
• Exhibit proficiency in drafting and reviewing Operating Agreements
• Demonstrate strong skills in Contract Negotiation
• Be capable of managing multiple clients and cases simultaneously
• Show excellent communication and interpersonal skills
• Possess high ethical standards and professionalism
• Be able to work independently and as part of a team
• Have strong analytical and problem-solving abilities
• Show a commitment to ongoing legal education and staying updated with law changes.
